Terms and conditions of ShoppingPrizes.com

We are: Affiliate Innovation Limited, trading as shoppingprizes.com, registered in England and Wales under company number: 7849291 and referred to in this agreement as “ShoppingPrizes” or “we” or “us”.

You are: a user of our services.

We cannot provide you with the ShoppingPrizes service until you have agreed to these terms and conditions. They represent the contract between you and us. Entry into the prize draw will be deemed to constitute acceptance of these terms and conditions.

This agreement may be changed at any time. When it is changed, your own contract is not changed. The version posted here at the time you instructed us continues to be valid. The new version is valid for all new instructions from you and from others.

The terms and conditions

1. Definitions

In this agreement, the following words shall have the following meanings, unless the context requires otherwise:

"Allocation" means the process of awarding member accounts 1 entry for every £1 Affiliate Commission we receive.

“Affiliate” means a web site which is the subject of a marketing agreement whereby a merchant pays a periodic commission on sales to customers or clients introduced by that website.

“Affiliate Commission” means the percentage of sales value of Your purchases of Goods or Services from that Retailer after clicking from Our web site.

“Cashback” means a proportion of the Affiliate Commission negotiated by us with each Retailer who joins the ShoppingPrizes scheme and which is repaid by Us to You.

“Cashout” means money we send to you at your request being part of the money paid to us as Affiliate Commission.

“Confidential Information” means all information about [us and the other parties to this agreement] but does not include information that it is reasonably necessary to disclose to a member or other person in the usual course of business so far as that information is disclosed in those circumstances. It includes among other things: information about our staff, their personal contact information, our businesses, methods of doing business, future plans, policies, retailers and members. It includes information about the Intellectual Property and the Know-how.

"Content" means the, information, photographs, graphics, and other Allocation on the Web Site, whether owned by us, by a Retailer or by a ShoppingPrizes member.

“Entry” means a unit of opportunity to win a share of the Prize Pot.

"Goods” and “Services" means all or any goods or services provided by a Retailer.

"Intellectual Property" means intellectual property of every sort, whether or not registered or registrable in any country, including intellectual property of kinds coming into existence after today; and including, among others, patents, trademarks, unregistered marks, designs, copyrights, software, domain names, discoveries, Know-how, creations and inventions, together with all rights which are derived from those rights.

“Member” means a person who has subscribed to the ShoppingPrizes service.

"Post" means display, exhibit, publish, distribute, transmit and/or disclose information, details and/or other material on the Web Site, and the phrases "Posted" and "Posting" shall be interpreted accordingly;

“Prize Draw” means the monthly draw for the Prize Pot.

“Prize Pot” means the money accumulated available for distribution in the Prize Draw.

“Red Button” means the red "Get Prize Entries" button on our website which after clicking enables a Retailer to identify your purchase as subject to Affiliate Commission.

“Retailer” means a retailer who has joined the ShoppingPrizes Scheme.

"Transaction" means a member who purchased Goods or Services from a Retailer after clicking from our web site.

"you” “yours” etc, means you, the party to this agreement.

2. Interpretation

In this agreement unless the context otherwise requires:

2.1. A reference to a person is a reference to one or more individuals, whether or not formally in partnership, or to a corporation, government body, or other association or organisation.

2.2. a reference to an act or regulation includes new law of substantially the same intent as the act or regulation referred to.

2.3. in any indemnity, a reference to costs or expenses shall be construed as including the estimated cost of management time of the indemnified party [such cost calculated at £50 per hour].

3. Membership

3.1. To be a member of ShoppingPrizes you must be over the age of 18 years and resident in the United Kingdom. If you do not qualify please do not use this web site.

3.2 Members must provide accurate and current account details including correct name, UK address and date of birth within 2 days of opening a new account.

3.3 Members must provide accurate and current payment details i.e. BACS or paypal address to be able to get paid cashback and / or prizes.

3.4 Members must manually register their online account themselves and not use a third party automated service.

3.5. Only one free ShoppingPrizes account is allowed per UK resident.

3.6. Membership and prize draw entry is closed to employees of Affiliate Innovation Limited, their families and anyone else who is professionally associated with our company, website or the prize draw.

3.7. Membership is free but as a condition of your membership you agree to accept service related email messages from us. In addition you will be signed up to receive a newsletter from us in relation to our website. You can choose to opt out of the newsletter at any time from within your account.

3.8. If you fail to log on to your account for a period of six months, we may terminate your account.

3.9. We reserve the right to modify the ShoppingPrizes membership service and to change the terms and conditions of this agreement at any time, without notice. Your continued use of the ShoppingPrizes membership service after such modifications shall be deemed an acceptance by you to be bound by the terms of the modified agreement. The terms that apply to you are those posted here on our web site on the day you join as a member. It may be useful to print a copy now.

4. Our contract

4.1. We provide a market place for the supply of Goods and Services. Our obligations to you are limited to operation of the ShoppingPrizes system.

4.2. You agree to provide to us the information required by the ShoppingPrizes system and to keep your personal information up to date on our web site.

4.3. We are in no way responsible for:

4.3.1. your locating and ordering Goods or Services;

4.3.2. your choice of Goods or Services;

4.3.3. any aspect of the provision of the Goods or Services;

4.3.4. payment for any Goods or Services;

4.3.5. the quality or suitability of the Goods or Services for your intended purpose;

4.3.6. any complaint about any Goods or Services.

4.4. Your registration as a member of ShoppingPrizes enables us to claim an Affiliate Commission from the Retailer. We do not keep all of that Affiliate Commission. We use it to operate the ShoppingPrizes system, one part of which gives you the option to claim from us up to 70% of the Affiliate Commission we receive. We call that the Cashback. Before paying you, we deduct any sum you have chosen to donate to charity.

4.5. We pay you the Allocation only when we have received it from the Retailer. Our receipt of Affiliate Commission is subject to your following this procedure:

4.5.1. your browser must be set to accept cookies;

4.5.2. you must click to the Retailer’s web site from the Red Button on our web site and not from any other advertisement on our site or any other.

4.6. We expect to receive payment from a Retailer between four and thirteen weeks from the date of your purchase. We will pay you only after we have received Affiliate Commission.

4.7. We operate the ShoppingPrizes Prize Draw in the manner and subject to the terms set out in our web site from time to time.

4.8. You agree that if you win a prize in a Prize Draw, we may publish your name, photograph and town of location both on our website and to third parties, such as newspapers and magazines, solely to promote our business.

4.9. You now grant to us a licence to use on our web site or in any other place or medium, any Content Posted by you.

4.10. If you or we terminate your account, we are not liable to you for any Allocation, Cashback or prizes from the Prize Pot, even if it accrued before the date of termination.

5. How the ShoppingPrizes service works

5.1. You select a retailer from those listed at our web site.

5.2. You click to the web site of a retailer via the Red Button and buy his Goods or services normally. You do not receive an Allocation at that time, but buy at advertised price.

5.3. Your obtaining the Allocation is conditional on your clicking to the website of the retailer from our site before buying his Goods or Services.

5.4. As a result of your using the Red Button to buy Goods or Services, the Retailer pays the Affiliate Commission to us.

5.5. Our target for the Affiliate Commission is 10%. Some Retailers may offer more, or less.

5.6. Affiliate software used by the Retailer records your visit and later, pays us the Affiliate Commission.

5.7. We allocate to you one additional Entry in the next following Prize Draw for each one pound of Affiliate Commission we receive.

5.8. We give you the option to claim 70% of transaction related entries as Cashback before the Prize Draw commences. Before paying you, we deduct any sum you have chosen to donate to charity.

5.9. The Prize Draw takes place each month.

5.10. The ShoppingPrizes Prize Draw operates so that there are ten winners who share the Prize Pot in the proportions we set out in our web site from time to time.

5.11. Sums less than £1 are carried forward.

5.12. Subject to our agreement, you may nominate a partner or family member to accept the prize on your behalf.

5.13. We expect to receive payment from a Retailer between four and thirteen weeks from the date of your purchase. We will allocate Entries to you only after we have received Affiliate Commission.

6. ShoppingPrizes: Retailer conditions and limitations

Each Retailer will impose his own terms on the operation of his Affiliate system, often depending on the Affiliate software he uses. We are no responsible in any way for how he sets his system and what Affiliate Commission he sends to us. He may:

6.1. set the percentage Affiliate Commission as he chooses;

6.2. increase or reduce the commission paid from time to time;

6.3. pay Affiliate Commission at different rates for different Goods or Services;

6.4. credit back the Affiliate Commission for Goods returned;

6.5. fail to pay us for some other reason.

7. ShoppingPrizes: conversion to Cashback

7.1. In the first instance we convert the Allocation due to you to Entries for the Prize Draw at the rate of one pound per one Entry.

7.2. You may remove up to 70% of transaction related Entries from the Prize Draw and instead take money as Cashback in accordance with the following table:

7.3. To request a Cashback payment, you must use the Cashout form on our web site.

7.4. A Cashback payment will be made through Bacs or PayPal.

7.5. The minimum sum you may Cashout is £10.

8. ShoppingPrizes: donations to charity

8.1. You may donate part or all of your Cashout to a charity of your choice from those listed on our website.

8.2. To ease our administration, we shall hold charitable donations until a total of £50 or more is reached for donation to any one charity.

8.3. Donations will be sent by us via www.justgiving.com a charity donation service, without charge by us.

9. ShoppingPrizes: free Entries we give you

9.1. The free Entry system is non-contractual. It is in our discretion.

9.2. On opening an account with ShoppingPrizes, we will credit your account with five free Entries. The new account free entries will add no value in total prize draw amount.

9.3. Monthly free Entry - we offer one free Entry per month, every month for all live accounts. Monthly free Entry will be awarded at the start of the month. The monthly free Entry will add no value in total prize draw amount.

9.4. If you refer some person to join ShoppingPrizes as a member, we will add two free Entries to your account. The referral free entries will add no value in total prize draw amount.

9.5. For non members we offer two different free entry routes:

9.5.1. postal free entry route for non members. Posting their details and we will open an account on their behalf which will include an initial 5 free entries followed by one free entry every month. The free entries will add no value in total prize draw amount.;

9.5.2. email free entry for non members. Emailing their details and we will open an account on their behalf which will include an initial 5 free entries followed by one free entry every month. The free entries will add no value in total prize draw amount.

9.6. No free Entries may be taken as cashback or cashed out but they will be included in the next Prize Draw.

10. ShoppingPrizes: the Prize Draw

Because the Prize Draw is not part of our contract with you, the information we provide here is just that: information. We may change the procedures. We hope any changes will improve your experience of using ShoppingPrizes.

10.1. The total value of Entries in the Prize Pot at any time is shown on our home page.

10.2 The Prize Pot will include 80% off the Affiliate Commission we receive minus all amounts taken as cashback by members.

10.3. At a draw, the Prize Pot is divided as set out on our website page http://www.shoppingprizes.com/prizes. We reserve the right to change the proportions.

10.4. The prize draw will be conducted on the last day of every month between 10 pm and 11 pm GMT including weekends and public holidays.

10.5. The very first prize draw is scheduled for the 30^th April 2012.

10.6. Details of the method of allocation of numbers and the computer generated draw are set out on our web site.

10.7. The winners will be notified by email on the day that the draw takes place.

10.8. The winners will be paid within 24 hours provided they have supplied payment details within their account i.e. BACS or paypal address.

10.9. All winners must supply payment details within 60 days of the relevant draw to be eligible for cash prizes. We reserve the right to expire and void any winning ticket ID's that haven’t been claimed after this time.

10.10. The names and entry numbers of the winners will be published on our web site shortly after the completion of the draw on our web page http://www.shoppingprizes.com/winners.

10.11. All Entries used in a Prize Draw will become void after the draw completes.

10.12. Following the completion of a Prize Draw then new Entry numbers awarded to members will begin from Entry number 1.

10.13. We offer a minimum total amount of £4,000 for the first draw and a minimum total amount of £1,000 for all subsequent monthly prize draws irrespective of Prize Pot contributions due to retailer transactions. In the event that a minimum of 5,000 site registered members are not reached by the date of the draw then we reserve the right to reduce the minimum total amount payable by 50% for all prizes or reduce to the actual Prize Pot amount if this is higher than 50% of the minimum total.

11. Acceptable use Policy

You agree to comply with these provisions:

11.1. You will not use or allow anyone else to use the Web Site to post or otherwise publish:

11.1.1. malicious or defamatory information about any Retailer;

11.1.2. commercial audio, video or music files;

11.1.3. any material which violates the law of any established jurisdiction;

11.1.4. software which assists in or promotes: emulators, hacking, password cracking, IP spoofing;

11.1.5. links to any of the material specified in this paragraph;

11.1.6. pornographic material;

11.1.7. any material promoting discrimination or animosity to any person on grounds of gender, race or colour.

11.2. You will not use the ShoppingPrizes membership service for spamming. Spamming includes, but is not limited to:

11.2.1. The bulk sending of unsolicited messages, or the sending of unsolicited emails which provoke complaints from recipients;

11.2.2. The sending of junk mail;

11.2.3. The use of distribution lists that include people who have not given specific permission to be included in such distribution process;

11.2.4. Excessive and repeated posting off-topic messages to newsgroups;

11.2.5. Excessive and repeated cross-posting;

11.2.6. Email harassment of another Internet user, including but not limited to, transmitting any threatening, libellous or obscene material, or material of any nature which could be deemed to be offensive;

11.2.7. The emailing of age inappropriate communications or Content to anyone under the age of 18.

11.3. You will not use the ShoppingPrizes membership service in a manner which violates any law or regulation, or which fails to comply with accepted Internet protocol.

11.4. You will not attempt to interfere in any way with our networks or network security, or attempt to use the ShoppingPrizes membership service to gain unauthorized access to any other computer system.

11.5. You will immediately notify us of any security breach in or unauthorised use of your account. you will not interfere in any way with another member’s use of the ShoppingPrizes membership service. You will not resell, rent, lease, grant a security interest in, or make commercial use of the ShoppingPrizes membership service without our express written consent.

11.6. You agree not to transfer your email address for gain or otherwise. Transfer of such email address will result in immediate termination of your membership.

11.7. You agree not to assign, transfer, or authorise any other person to use, your membership. If you try to do so, we have the right to terminate your membership.

11.8. You agree not to open more than one account. Multiple accounts per person will result in immediate termination of your membership.

11.9. You agree not to enter into or attempt to enter into any transaction with a Retailer or to gain Allocation by;

11.9.1. providing incorrect personal information or personal information of somebody else.

11.9.2. payment information which they are not entitled to use.

11.9.3. by unfairly or deceptively exploiting a Retailer's offering.

11.9.4. registering or clicking with no intention to continue to buy / use from the Retailer.

11.9.5. in breach of any terms and conditions applied by us or the retailer to that transaction.

11.10. You agree not to register, gain Allocation and / or Entry via a third party automated service.

12. Suspending or Terminating Your Account

12.1. We reserve the right to terminate or suspend your access to the Website immediately and without notice to you if:

12.1.2. You breach the terms of these terms and conditions (repeatedly or otherwise)

12.1.3. You are impersonating any other person or entity.

12.1.4. When requested by us to do so, you fail to provide us within a reasonable time with sufficient information to enable us to determine the accuracy and validity of any information supplied by you, or your identity.

12.1.5. We suspect you have engaged, or about to engage, or have in anyway been involved, in fraudulent, abusive, unethical or illegal activity on the Website.

12.1.6. We reserve the right to terminate accounts if a serviceable email address is not provided. You must ensure that the email address we hold for you is kept up to date and with full access by yourself.

13. Reviews

13.1. You acknowledge that any review, feedback or rating which you leave may be published by us on the Website and you agree that it may be displayed for as long as we consider appropriate and that the content may be syndicated to our other websites, publications or marketing materials.

13.2. You undertake that any review, feedback or rating that you write shall:

13.2.1. Comply with applicable law in the UK and the law in any country from which they are posted

13.2.2. Be factually accurate

13.2.3. Contain genuinely held opinions (where applicable)

13.2.4. Not contain any material which is either defamatory, threatening, obscene, abusive, offensive, hateful, inflammatory or is likely to harass, upset, annoy, alarm, embarrass or invade the privacy of, any person or be deceiving.

13.2.5. Not promote or advocate an unlawful act or activity, discrimination, sexually explicit material or violence

13.2.6. Not infringe any trademark, copyright (including design rights), database right, or other intellectual property rights of any other person or breach of any legal duty you owe to a third party

13.2.7. Not be used to impersonate any person, or to misrepresent your identity.

13.3. You grant us and our affiliate companies a non-exclusive, royalty-free worldwide license to use or edit any reviews posted by you.

13.4. We reserve the right to publish, edit or remove any reviews without notifying you.

14. Intellectual Property

14.1. The content of the Website is protected by copyright (including design copyrights), database and other intellectual property rights and similar proprietary rights which include confidential information and you acknowledge that the intellectual property rights in the material and content supplied as part of the Website shall remain with us or our licensors.

14.2. You may download or copy the content and other downloadable items displayed on the Website subject to the condition that the material may only be used for personal non-commercial purposes. Copying or storing the contents of the Website for other than personal use is expressly prohibited.

14.3. You may retrieve and display the content of the Website on a computer screen, store such content in electronic form on disk (but not any server or other storage device connected to a network) or print one copy of such content for your own personal, non-commercial use, provided you keep intact all and any copyright and proprietary notices. You may not otherwise reproduce, modify, copy or distribute or use for commercial purposes any of the materials or content on the Website.

14.4. You acknowledge that any other use of the material and content of this Website is strictly prohibited and you agree not to (and agree not to assist or facilitate any third party to) copy, reproduce, transmit, publish, display, distribute, commercially exploit or create derivative works from such material and content.

15. Indemnity

You agree to indemnify us against any claim or demand, including reasonable lawyers’ fees, made by any third party due to or arising out of:

15.1. your use of the ShoppingPrizes membership service;

15.2. the breach or violation of this agreement by you;

15.3. the infringement by you, or by any other user of the ShoppingPrizes membership service using your computer, of any intellectual property or other right of any person or entity;

15.4. any threatening, libellous, obscene, harassing or offensive material contained in any of your communications.

16. Interruption to the service

16.1. If it is necessary for us to interrupt the ShoppingPrizes membership service then we may do so without telling you first.

16.2. You acknowledge that the ShoppingPrizes membership service may also be interrupted for reasons beyond our control.

16.3. You agree that we are not liable to you for any loss whether foreseeable or not, arising as a result of interruption to the ShoppingPrizes membership service.

17. Storage of Data

17.1. We assumes no responsibility for the deletion or failure to store, deliver or timely deliver messages.

17.2. We may, from time to time and without notice, set limit(s) on the number of messages or images you may send, store, or receive through the service, and we retains the right to delete any emails or images above such limit(s) without any liability whatsoever, and you hereby release us from any such liability. Any notice provided by us to you in connection with such limit(s) shall not create any obligation to provide future notification regarding any change(s) to such limit(s).

17.3. We reserve a right to use information you post on our website in any way we decide.

18. Our liability

18.1. Your use of the ShoppingPrizes membership service is without any warranty or guarantee. In particular, we are not obliged to give you credit whether by cash or by Entries in circumstances where we have not received cash in our bank account from the Retailer in connection with your purchase from him.

18.2. We are not agents for a Retailer. Accordingly, we are not able to resolve a dispute between you and a Retailer.

18.3. Where we provide a service without specific charge, then it is deemed to be provided free of charge, and not to be associated with any other service for which a charge is made. Accordingly, there is no contractual nor other obligation upon us in respect of any such service.

18.4. We or our Content suppliers may make improvements or changes to the Web Site, the Content, or to any of the products and services described on the Web Site, at any time and without notice to you.

18.5. You are advised that Content may include technical inaccuracies or typographical errors which may include Entry descriptions and Entry amounts. This will mean that actual Allocations awarded may be higher or lower than those described on the Web Site.

18.5.1 Whilst we try and ensure that all the information on our Web Site is accurate, errors may occur. In the unlikely event that the Entry amounts and/or descriptions of an Retailer have been incorrectly advertised, we will not be under any obligation to provide those services to you.

18.6. Should any Retailer delay Affiliate Commission or cease trading then we will make every reasonable effort to recover amounts owed but can make no guarantees to Allocations until funds have been received by us from the Retailer or their networks.

18.7. Whilst we will try to get non payments or missing Affiliate Commissions from the retailers, the decision of ourselves, the Retailer's or the Retailer’s tracking network is final. At any point we reserve the right not to chase missing Allocation claims.

18.8. We cannot be held responsible if the merchants fail to report a transaction to us or does not qualify a transaction for any reason. Retailers have their own rules upon which they determine transactions to be genuine. We shall not be responsible in the event shoppingprizes.com due to a technical or other error cannot track a transaction to the member and does not qualify the transaction for any reason. These rules may or may not be advertised by ourselves or the Retailer and may be discretionary.

18.9. There are various circumstances in which a transaction with the Retailers may not constitute a qualifying transaction and Allocation may not result from it. .

18.10. There are various circumstances in which Allocation will not be payable to the member and will be forfeited to us, these could include but not limited to;

18.10.1. When the Affiliate Commission that we receive is not attributed to a qualifying transaction or associated with a members account.

18.10.2. The Affiliate Commission is attributed to a member or account that has been suspended by us, associated with any fraudulent activity or any breach of this agreement.

18.11. We give no warranty and make no representation, express or implied, as to:

18.11.1. the truth of any information given on the Web Site by any Retailer, associate or third party;

18.11.2. any implied warranty or condition as to merchantability or fitness for a particular purpose;

18.11.3. compliance with any law;

18.11.4. non-infringement of any right.

18.12. Much of the material provided on the Web Site is Posted (and thereby published) by members. We are under no obligation to monitor, vet, check or approve any such material. We disclaim all responsibility for information published on the Web Site by any person.

18.13. The Web Site contains links to other Internet web sites. We have neither power nor control over any such web site. You acknowledge and agree that we shall not be liable in any way for the Content of any such linked web site, nor for any loss or damage arising from your use of any such web site.

18.14. In no event shall we or our Content suppliers be liable for any special, indirect or consequential damages or any damages whatsoever resulting from loss of use, loss of data or loss of revenues or profits, whether in an action of contract, negligence or otherwise, arising out of or in connection with the use of the Web Site or the Content available from this Web Site.

19. System Security

19.1. You agree that you will not, and will not allow any other person to, violate or attempt to violate any aspect of the security of the computer hardware and software and any other machinery and equipment operated in conjunction with it and used by us to provide the ShoppingPrizes membership service.

19.2. You agree that you will, in no way, modify, reverse engineer, disassemble, decompile, copy, or cause damage or unintended effect to any portion of the Web Site, or any software used on the Web Site, and that you will not permit any other person to do so.

19.3. You understand that any such violation is unlawful in many jurisdictions and that any contravention of law may result in criminal prosecution.

19.4. Examples of violations are:

19.4.1. accessing data unlawfully or without consent;

19.4.2. attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures;

19.4.3. attempting to interfere with service to any user, host or network, including, without limitation, via means of overloading, "flooding", "mail bombing" or "crashing";

19.4.4. forging any TCP/IP packet header or any part of the header information in any e-mail or newsgroup posting;

19.4.5. taking any action in order to obtain services to which you are not entitled.

20. Miscellaneous matters

20.1. We reserve the right to apply fraudulent prevention measures as we see fit. 

20.2 Where a voucher code is used then we cannot be held responsible for its accuracy or validity. We cannot be held responsible for any loss of Allocation which might otherwise been awarded had the voucher code not been used.

20.1. To help us maintain a high quality of experience in using our web site for all Members, we welcome any comment or complaint about a Retailer. We may choose whether and how to act upon a complaint.

20.2. If any term or provision of this agreement is at any time held by any jurisdiction to be void, invalid or unenforceable, then it shall be treated as changed or reduced, only to the extent minimally necessary to bring it within the laws of that jurisdiction and to prevent it from being void and it shall be binding in that changed or reduced form. Subject to that, each provision shall be interpreted as severable and shall not in any way affect any other of these terms.

20.3. The rights and obligations of the parties set out in this agreement shall pass to any permitted successor in title.

20.4. No failure or delay by any party to exercise any right, power or remedy will operate as a waiver of it nor indicate any intention to reduce that or any other right in the future.

20.5. Any communication to be served on either of the Parties by the other shall be delivered by hand or sent by first class post or recorded delivery or by fax or by e-mail. It shall be deemed to have been delivered:

if delivered by hand: on the day of delivery;

if sent by post to the correct address: within 72 hours of posting;

If sent by fax to the correct number: within 24 hours;

If sent by e-mail to the address from which the receiving party has last sent e-mail: within 24 hours if no notice of non-receipt has been received by the sender.

20.6. In the event of a dispute between the parties to this agreement, then they undertake to attempt to settle the dispute by engaging in good faith with the other in a process of mediation before commencing arbitration or litigation.

20.7. This agreement does not give any right to any third party under the Contracts (Rights of Third Parties) Act 1999 or otherwise.

20.8. The validity, construction and performance of this agreement shall be governed by the laws of England and Wales / Scotland / Northern Ireland.
